terms and conditions
The client may rescind this agreement within (15) days and
will receive a full refund for the amount paid within 20 days.
The client may cancel this agreement at any time after the
initial (1) month terms by using the automatic online cancellation
feature at www.theedgefitnessconsulting.com. Once you cancel
your subscription your membership will be cancelled after
the period for which you have paid has expired. You may cancel
your subscription at anytime.
This agreement shall be subject to all of the other terms
and conditions as set out on any attachments to this agreement
and no amendment of this agreement shall be binding upon either
party unless reduced to writing and signed by both the client
and EFC ownership.
EFC reserves the right to change, add or discontinue any
of the services listed on this agreement; any changes will
be communicated to clients in writing and will take effect
no sooner than 30 days.
The club gives EFC permission to acquire sales figures and
statistics from club employees, managers, administrators and
owners for the sole purpose of creating an annual statistics
book that will only post the averages of all Alliance members.
Due to fluctuations in employee and management turnover,
market fluctuations, ineffective ongoing implementation and
sustaining of the systems, EFC provides no refunds for under
performance. EFC assumes no liability whatsoever for performance
levels.
Client acknowledges that EFC offers no guarantees that its
consulting programs or advice will have any beneficial effect
from an athletic or medical standpoint and that they have
not been approved by a medical authority. The client hereby
releases EFC from any liability whatsoever resulting from
any injury or accident to its employees, members or owners
resulting from use of any of EFC's consulting systems or advice.
The client acknowledges that any documents, forms, personal
training or membership contracts provided by EFC have not
been approved by any attorney or legal body. The client is
aware that laws and regulations vary from province to province
or state to state and that EFC's documents, contracts and
forms have not been legally approved in these different jurisdictions.
The client releases EFC, it's shareholders, directors, officers
and employees, those for which EFC is responsible at law or
otherwise, and any other party or parties related to any of
the aforementioned persons form any and all claims, demands,
damages, rights of action, present or future, whether the
same be known or unknown, anticipated or unanticipated, resulting
form or arising out of the club's use or intended use of EFC
systems and documents, including but without limitation, any
claims for personal injury arising from or as a result of
negligence of the club, it's owners, agents or employees or
the negligence of any other person present on the club's premises
as members or guests.
All forms, documents, training manuals and materials are
the copyright property of EFC. As well, any use or reference
to the PRO-FITNESS PROGRAMT or any of its systems must have
the exclusive approval of EFC. The PRO-FITNESS PROGRAMT is
a Trade Mark brand and any reproductions, merchandising, and
or use of the brand must have the approval of EFC.
This contract constitutes the entire agreement between the
parties. Any promises, representation, understanding or agreement
not contained in this contract is waived and not binding.
Reciprocal Club Usage
All members of The PRO-FITNESS ALLIANCET are required to
participate in the reciprocal club usage program and abide
by the following charter regulations:
- Members can only use authorized Alliance clubs outside
a 25km radius of their home club.
- The member may use any of the Alliance clubs listed on
our web site. The member will be required to show their
valid membership card from their home club. Without this
access will be denied. The member will also be required
to sign an insurance release form to use the club they are
visiting. No fees will apply for the workout only. If the
visiting member wants to use any other services, a fee may
apply, and may vary from the fee of a similar service at
the home club.
- In the event that the member relocates, and decides to
use a new Alliance club as their permanent facility, they
must switch their monthly payments to the new location.
With proof of relocation, the existing Alliance club will
let the member out of their agreement, as long as the member
registers with another Alliance facility in their area.
There will be no up front fees for the transfer and the
member will have the option of joining on a month to month
basis with no further commitment.
- Regardless of what the member was paying at their previous
facility they will be required to pay the current monthly
fee of the new club they are registering with. The member
will be required to pay a new fitness consultation fee so
that the new club will have a current fitness record on
file.
- Visiting guests will be treated with the same level of
service, care and commitment afforded to their regular members.
- The visiting guest must abide by the rules and regulations
of the club they are visiting or in future they may be denied
access to the facility.
Clients are required to participate in shared costs associated
with running the reciprocal club usage program. Costs may
include membership cards, marketing posters etc. and will
be discussed with owners prior to billing. All costs will
be shared by all members of the group and be based on quantity
and volume.
EFC is not responsible for the actions, products or services
of any of the vendors listed on the Preferred Vendor list
or any Preferred Vendors that represent or claim to represent
EFC. EFC is not liable for any damages, lawsuits, claims,
resulting from the client's relationships with and of the
Preferred Vendors or any parties related to or associated
with the Preferred Vendors. Preferred Vendors reserve the
right to change or discontinue special incentives or discounts
without notice.
Clients are only entitled to the special incentives and discounts
provided by Preferred Vendors as long as they are members
of The PRO-FITNESS ALLIANCET. Preferred Vendors will remove
these privileges once this service agreement is cancelled.
| Monthly
Mastermind Meetings |
Alliance members must participate in the monthly meeting
of club owners, either in person or by logging on to web broadcasts.
Failure to participate may result in termination of the Alliance
membership.
Clients who decide to participate in these meetings via the
internet will be charged an at cost per cent rate for the
time that they are logged on. Meetings average 2 hours in
length. Costs will be billed by EFC to the client's credit
card after each meeting and the client's statement will act
as an invoice.
| Discounts
on Edge Services and Products |
Clients must have had membership to The PRO-FITNESS ALLIANCET
and been in good standing for a minimum of 6 months in order
to receive the 50% off of EFC services and goods. Services
will be provided by any or all EFC Consultants.
No discounts will be provided for The PRO-FITNESS PROGRAMT
Personal Training system. Discounts will apply on hourly consulting,
training modules and certain Edge products and a list of these
services and costs will be provided to the club.
| Annual
Alliance Industry Statistics Book |
Clients will be offered to purchase an industry statistics
book at the end of each year, at cost, as long as they have
participated in sharing anonymous statistics with EFC. Only
general statistics relating to the averages of all Alliance
clubs will be posted for clubs under and above 20,000 square
feet.

marketing discounts from The Edge Marketing division |
Clients will be able to purchase various marketing services
at a reduced rate depending on the number of participants
and the volume of the orders. Prices will fluctuate depending
on volumes but costs will remain lower than non - Alliance
rates.
| 30
Minutes a Month of Edge Consulting Support |
The 30 minutes per month of email or phone support are for
specific individual months and any unused time cannot be carried
forward.
Any additional time will be billed out at 50% off of The
Edge's current hourly rate and the client will be informed,
in advance, that the billing period will start. The client
will agree in advance that they want to proceed with the hourly
consulting.
The client is required to leave a message by email or phone
to take advantage of this service. An Edge Consultant will
call back the club to book a specific time to complete the
30 minutes of consulting that month.
